1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you and DocMatrix AI ("we," "us," or "our") concerning your access to and use of our website and document intelligence platform (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Intellectual Property Rights

Unless otherwise indicated, the Services and all content and other materials therein, including, without limitation, the DocMatrix AI logo and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, "Content") are the proprietary property of DocMatrix AI or our licensors and are protected by U.S. and international intellectual property laws.

You are granted a limited, non-sublicensable license to access and use the Services and Content for your personal or internal business use. Such license is subject to these Terms and does not include:

  • The distribution, public performance or public display of any Content
  • Modifying or otherwise making any derivative uses of the Services or Content
  • Use of any data mining, robots or similar data gathering or extraction methods
  • Downloading (other than page caching) of any portion of the Services, the Content or any information contained therein
  • Reverse engineering or accessing the Services in order to build a competitive product or service
  • Using the Services or Content other than for their intended purposes

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. User Content

Our Services allow you to upload, store, send, and receive content, including documents, data, text, and other materials ("User Content"). You retain all rights in, and are solely responsible for, the User Content you upload, post, email, transmit, or otherwise make available via our Services.

By uploading User Content, you grant DocMatrix AI a worldwide, non-exclusive, royalty-free license to use, copy, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods now known or later developed, solely for the purpose of providing and improving our Services.

You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use all intellectual property rights in and to any User Content
  • The uploading and use of your User Content does not violate or infringe upon the rights of any third party
  • All your User Content complies with these Terms and applicable law

5. Prohibited Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
  • To impersonate or attempt to impersonate DocMatrix AI, a DocMatrix AI employee, another user, or any other person or entity
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm DocMatrix AI or users of the Services
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services
  • To attack the Services via a denial-of-service attack or a distributed denial-of-service attack

6. Subscription and Payment

Some of our Services are available on a subscription basis. You agree to pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time a fee or charge is due and payable.

By providing a credit card or other payment method accepted by DocMatrix AI, you are expressly agreeing that we are authorized to charge you for the Services using your payment method. If automatic billing fails for any reason, we may issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

DocMatrix AI reserves the right to modify its pricing and billing terms at any time, upon reasonable notice posted in advance through the Services or sent to your email address provided during registration.

7. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Limitation of Liability

In no event shall DocMatrix AI, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing our Services during the twelve (12) months prior to the claim.

9. Disclaimer

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

DocMatrix AI does not warrant that: (a) the Services will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
